  EMV Filing 2018-04-19
Posted by: pogson - 04-23-2018, 10:06 AM - Forum: General Solo Discussion - Replies (2)

There's an annual report (<-link) filed with the SEC. It's for the previous year but a few details are more recent:

  • The deal with Zongshen is outlined in greater detail:" On September 29, 2017 the Company entered into a manufacturing agreement with Chongqing Zongshen Automobile Co., Ltd. (“Zongshen”). Under the agreement the Company agrees to reimburse Zongshen for the cost of prototype tooling and molds estimated to be CNY ¥9.5 million (CAD $1.8 million), which shall be payable on or before March 18, 2018, and mass production tooling and molds estimated to be CNY ¥29.3 million (CAD $6.0 million), which shall be payable 50% when Zongshen commences manufacturing the tooling and molds, 40% when Zongshen completes manufacturing the tooling and molds, and 10% upon delivery to the Company of the first production vehicle. At December 31, 2017 the Company had paid 50% of prototype tooling and molds." and "On October 16, 2017, Jerry Kroll, our President and CEO, entered into a Share Pledge Agreement with Zongshen to guarantee our payment for the cost of the prototype tooling and molds estimated to be $1.8 million through the pledge of 800,000 common shares of the Company at a deemed price of USD $2.00. We have agreed to reimburse Mr. Kroll on a one-for-one basis for any pledged shares realized by Zongshen at a deemed issue price of $2.00 per common share."
  • " As of April 11, 2018, we employed a total of 44 full-time and no part-time people at our principal executive offices in Vancouver, British Columbia. None of our employees are covered by a collective bargaining agreement." and "Engineering/R&D  29 / Sales & Marketing  4 / General & Administration  5 / Executives  6"
  • " As of April 11, 2018, we have built 25 pre-production vehicles. We have used some of these pre-production vehicles as prototypes, have delivered four to customers upon payment of the purchase price, and have used others as test drive models in our two showrooms. At our facilities located in British Colombia, we can manufacture approximately two to four vehicles per month. Our ability to build EVs at our own facilities has been enhanced by our recent acquisition of Intermeccanica which has over 50 years of custom car manufacturing expertise. Intermeccanica commenced operations during 1959 in Turin, Italy selling speed equipment kits. This led to the production of a Formula Junior racer and eventually to the first unique bodied, hand assembled road car called the InterMeccanica Puch or IMP (21). The car competed at the Nurburgring, a 13.75 mile race circuit in Germany, where it won its 500 cc class. The success of the IMP led Intermeccanica to build the Apollo (101), Griffith (14), Italia (500) and Indra (125) during the period 1959 to 1975. Thereafter, Intermeccanica moved to North America where it started to construct the Porsche 356 Speedster replica and later Intermeccanica moved to Vancouver, Canada, where it developed the tooling to produce the Roadster RS based on the 1959 Porsche 356 D, Intermeccanica incorporated its own tubular chassis in 1986 and offered various powertrains from the original VW air-cooled engine to a six-cylinder engine from a Porsche 911. Intermeccanica, throughout its operating history, has built approximately 2,500 vehicles.

To enable us to mass produce our EVs, we have entered into a manufacturing agreement with Zongshen located in Chongqing, China. Under the agreement, Zongshen has begun the process of establishing tooling and has contracted to produce 75,000 SOLO vehicles. Zongshen, through its subsidiary, Chongqing Zongshen Engine Manufacturing Co., Ltd. is a subsidiary of Zongshen Power. Since its establishment in 1992, Zongshen Power has grown into a large-scale scientific and technical enterprise capable of researching, developing, manufacturing and selling a diverse range of motorcycles and motorcycle engines in China. Its products include over 130 models of two-wheeled motorcycles, electric motorcycles, three-wheeled motorcycles, cross-country vehicles and ATVs with motors ranging from 35CC to 500CC. Zongshen Power has been an industry leader for many successive years. Zongshen has purchased $1,017,532 of our common shares from us and beneficially owns approximately 11.1% of our common shares. If we complete this offering, we expect to begin placing orders with Zongshen in the first or second quarter of 2018 and to begin sales of SOLOs in August 2018. We anticipate that Zongshen will produce up to 5,000 of our cars in 2018, 20,000 of our cars in 2019 and 50,000 of our cars in 2020."
So, it seems there is a plan which may or may not deliver my RED Solo in 2018 but there are a lot of "ifs" involved. Much of this is not "news" but at least now it's in writing... It appears that Zongshen is willing to set up for 11% of EMVs shares and a handshake. They know they can sell motorcycles. Why not three-wheeled EVs? Unfortunately, there's nothing there about EPA, NHTSA, or Canadian DOT...

CEO Report

April 2018

The all-electric Tofino 2-seat roadster is now a reality! We recently unveiled the first Tofino chassis at the 2018 Vancouver International Auto Show and even I am surprised at the amount of media attention it has garnered. First adopters for technology seem to have an appetite for exciting looking equipment and the Tofino certainly fits that bill. The unveiling was recorded and will soon be visible on our newly updated www.emvauto.com website for all to see. Congratulations to the development team, and hurry up with the rest of the car so we can go cruising! First deliveries are targeted for late 2019 or early 2020, and the cars will be spectacular. Be the first on your block to own one!

SOLO production is on track with between 4 and 10 pre-production units being produced each month and our production manufacturing is scheduled to ramp up later this year to meet our goal of delivering an initial 5,000 units per year beginning in 2019. We will also be hosting a number of “SOLOpalooza” test drive events. this year to get the vehicle out in front of the public. The next will take place in Vancouver on April 22nd, and we are looking to stage similar events in New York and Los Angeles in the May time frame. We will have test drive sign ups online and email invitations to everyone, so if any of those venues are convenient for you, please head over for your first demonstration drive of the amazingly fun-to-drive SOLO!

For the past few months I have been stuck behind my desk working with our finance team on preparing our IPO and the up-list of Electra Meccanica onto the Nasdaq stock exchange. We recently announced the appointment of Steven Sanders and Luisa Ingargiola to the Company’s Board of Directors. We are delighted to welcome them as they are both seasoned executives who bring a wealth of experience to our Company and are a delight to work with.

I look forward to completing this work so I can get back into the factory -- and onto the road to further develop our pipeline of products. My brain is now FULL of exciting ideas, some of which I will share with you at our 2018 Annual General Meeting on May 24th here in Vancouver. I’ve always loved the idea of Apple’s new product announcements, and the excitement that they create. We have equally exciting products, and unlike Apple products you can actually climb into ours and go for a ride!

As many of you know I have a long history in motorsports, and have been following the Formula E racing series since my days at the NASA Research Park in Mountainview, California. I’ve been to two Formula E events so far, and am looking forward to the July race in New York this year. That will mark the last event for the current generation of Formula E chassis, as the next gen is ready to go for the 2019 season -- and it is a beauty. Many of our technology partners are already involved in the racing series as a way to push the limits of electric vehicle technology, so I get a good insight into what we can expect to incorporate into our own cars in working with them. By the way, let us know if you’re going to a Formula E race, and we’ll hook you up for a paddock tour with one of our teams! It’s really quite amazing, and your eardrums don’t get blown out like at a Formula 1 race.

Back to our www.emvauto.com website finally, as it has now been re- launched in all its glory, featuring our new “Meccanica” branding and updated “Prancing Bull” logo. This now fuses Intermeccanica and ElectraMeccanica into one brand as we head into 2019 and our 60th Anniversary of building and manufacturing cars. As you can imagine, we have lots of fun events planned for this anniversary, including our updated “History of the Prancing Bull” book which has been updated to include SOLO and Tofino details. You’ll be able to order this book and a whole bunch of other super looking items on the website from now on. We’ll also be sharing updates with you via email and on our social media channels whenever something interesting or new is available.

As we leave the winter of 2017 behind us and spring toward summer 2018 I hope you’ll have a great time! Time to roll down the windows in my SOLO and go for a blast down the highway now!

See you on the road!
Sincerely,
Jerry Kroll, CEO
Electra Meccanica Vehicles Corp.
